Terms of Service
These are the specific clauses that give legal effect to Section 4 ("Your authorization and our lawful basis") of the Privacy Policy. The authorization warranty in the Privacy Policy only protects OpsNGIN if a matching indemnity and acceptable use obligation sit in the binding Terms of Service. Section numbers below are placeholders — renumber to fit your full ToS. These are templates, not legal advice; have counsel finalize them.
1. Customer Authorization and Authority
1.1 Grant of access.** OpsNGIN acts only on the infrastructure, systems, credentials, and permissions that you provide or authorize through the Services. You are solely responsible for configuring what OpsNGIN may access and what actions it may take, including your selection of autonomy tier (Approval / Trusted / Closed Loop).
1.2 Authority warranty.** You represent and warrant that you have, and will maintain throughout your use of the Services, all rights, authority, consents, and lawful basis necessary to: (a) connect the relevant infrastructure, systems, logs, data, and services to the Services; (b) grant OpsNGIN access to them; and (c) permit OpsNGIN to perform the operations you authorize, including any actions that read, modify, install, execute on, or restart those systems.
1.3 Acting for others.** Where you connect or authorize access to systems or data on behalf of another person or organization — for example, as a managed service provider, contractor, agent, or employee — you represent and warrant that you are duly authorized by that party to do so and to bind that party to these Terms in respect of such systems and data, and that your doing so does not violate any agreement with, or the rights of, that party.
1.4 No verification by OpsNGIN.** OpsNGIN is not obligated to, and does not, independently verify your rights or authority over any system or data you connect. OpsNGIN is entitled to rely on your representations in this Section.
2. Acceptable Use
2.1 You will not use the Services to access, operate on, or interfere with any system, network, or data that you are not authorized to access or operate on.
2.2 You will not use the Services in violation of any applicable law, including computer-misuse, unauthorized-access, export-control, or data-protection laws, or in a manner that infringes the rights of any third party.
2.3 You are responsible for the actions OpsNGIN takes within the scope of the access and authority you grant and the autonomy tier you select, and for reviewing the audit records the Services make available to you.
2.4 OpsNGIN may suspend access to the Services, in whole or in part, where it reasonably believes continued operation poses a security risk, is unlawful, or breaches this Section, with notice where practicable.
3. Indemnification by Customer
3.1 You will defend, indemnify, and hold harmless OpsNGIN, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, demands, actions, investigations, or proceedings, and any resulting losses, damages, liabilities, fines, penalties, settlements, and reasonable costs and expenses (including reasonable legal fees), to the extent arising out of or relating to:
- (a) your breach of the Authority warranty or Acting-for-others representations in Section 1;
- (b) your breach of the Acceptable Use obligations in Section 2;
- (c) your connection of, or authorization of access to, any system or data that you did not have the right or authority to connect or authorize; or
- (d) your violation of Applicable Data Protection Law or other applicable law in connection with your use of the Services.
3.2 OpsNGIN will promptly notify you of any claim subject to indemnification, give you reasonable control of the defense and settlement (provided no settlement imposes any obligation or admission on OpsNGIN without its consent), and provide reasonable cooperation at your expense.
4. Relationship to Data Protection Terms
Your responsibilities under this Section are in addition to, and do not limit, your obligations under the OpsNGIN Privacy Policy and Data Processing Agreement. Nothing in this Section limits either party's data-protection obligations under Applicable Data Protection Law.
